1. Introduction

These Wholesale Terms & Conditions apply to all trade customers purchasing products from Crafty Kits for resale or commercial purposes.

They are designed to create a clear and fair working relationship between Crafty Kits and wholesale customers.

By placing a wholesale order with Crafty Kits, you agree to these Terms & Conditions.

3. Wholesale Customers

Wholesale customers may include:

craft shops
gift shops
market traders
craft fair sellers
Etsy sellers
online retailers
independent retailers
corporate gift suppliers
other approved trade customers

Wholesale purchases are intended for resale purposes.

4. Approval of Wholesale Accounts

Crafty Kits reserves the right to approve or decline wholesale applications.

We may request information including:

business name
trading location
website or selling platforms
intended sales channels
customer information

Approval does not guarantee ongoing supply and may be reviewed periodically.

5. Wholesale Pricing

Wholesale prices are provided exclusively to approved trade customers.

Wholesale prices:

are confidential;
must not be shared publicly;
may change due to supplier costs, manufacturing changes or market conditions;
do not include any VAT as Crafty Kits is not VAT registered.

Prices shown at the time an order is accepted will apply.

6. Minimum Order Requirements

Minimum order quantities may apply.

Current minimum order requirements will be communicated through:

wholesale catalogues;
trade enquiries;
individual quotations;
website information.

Crafty Kits may offer mixed product ordering where appropriate.

7. Placing Wholesale Orders

Wholesale orders can be placed through agreed channels including:

email;
website ordering systems where available;
direct trade communication.

An order becomes binding once accepted by Crafty Kits.

We reserve the right to refuse or amend orders where:

products are unavailable;
pricing errors occur;
payment cannot be confirmed;
the order falls outside our wholesale criteria.

8. Payment Terms

Unless agreed otherwise in writing:

payment is required before dispatch;
goods remain the property of Crafty Kits until payment is received in full.

Alternative payment terms may be considered for established trade customers at our discretion.

9. Delivery of Wholesale Orders

Wholesale delivery times vary depending on:

order size;
product availability;
personalised requirements;
packaging requirements.

Estimated delivery times will be confirmed before dispatch.

Delivery charges will be agreed before the order is completed.

10. Inspection of Goods

Wholesale customers should inspect goods promptly upon receipt.

Any issues including:

shortages;
damaged products;
incorrect items;
manufacturing errors;

should be reported within 7 days of delivery where possible.

Failure to report issues promptly may affect our ability to investigate.

11. Damaged or Faulty Wholesale Goods

Where goods are confirmed as faulty or damaged due to an issue before delivery, Crafty Kits may offer:

replacement goods;
replacement components;
credit against future orders;
refund where appropriate.

Normal handmade variations are not considered faults.

12. Resale of Products

Wholesale customers may resell Crafty Kits products through approved sales channels.

Customers must:

represent products accurately;
maintain appropriate product descriptions;
avoid misleading claims;
comply with consumer protection laws.

13. Online Marketplaces

Wholesale customers may sell products through approved online platforms including:

their own websites;
Etsy shops;
approved online marketplaces.

Customers must not:

copy Crafty Kits product listings;
use Crafty Kits photography without permission;
claim products are their own designs;
misrepresent the origin of products.

14. Product Photography and Marketing Material

Crafty Kits may provide approved marketing materials including:

product photographs;
descriptions;
promotional content;
social media assets.

These materials remain the intellectual property of Crafty Kits.

Permission is granted for wholesale customers to use approved materials solely to promote and sell Crafty Kits products.

15. Private Label Products

Crafty Kits may offer private-label opportunities where products are supplied with customer branding.

Private-label arrangements must be agreed in writing before production begins.

This may include:

customer logos;
packaging changes;
labels;
bespoke product requirements.

Customers are responsible for ensuring they have permission to use any branding, logos or artwork supplied.

16. Exclusive Designs

Where Crafty Kits creates exclusive designs for a wholesale customer:

Unless otherwise agreed in writing:

Crafty Kits retains ownership of the underlying design;
the customer receives permission to sell the agreed products;
designs may not be copied, reproduced or manufactured elsewhere.

Any exclusivity arrangements must be confirmed separately.

17. Intellectual Property

All Crafty Kits intellectual property remains protected.

This includes:

product designs;
artwork;
instructions;
photographs;
packaging designs;
branding;
marketing materials.

Wholesale customers must not:

reproduce products;
copy designs;
commission similar products from third parties;
remove Crafty Kits branding unless authorised.

18. Personalised Wholesale Products

Where personalised products are supplied:

Customers are responsible for:

obtaining permission to use customer images;
checking spelling and details;
ensuring supplied content is lawful.

Crafty Kits accepts no responsibility for errors caused by incorrect information supplied by the wholesale customer.

19. Cancellation of Wholesale Orders

Once production has started, cancellation may not be possible.

This particularly applies to:

personalised products;
private-label products;
specially manufactured items.

Any cancellation requests should be made immediately.

20. Returns

Wholesale returns are not accepted simply because products do not sell.

Customers should carefully consider quantities before ordering.

Returns may be accepted where:

goods are faulty;
goods are damaged;
incorrect items have been supplied.

21. Product Changes

Crafty Kits reserves the right to:

update designs;
change packaging;
improve products;
discontinue products.

Where possible, existing wholesale customers will be notified of significant changes.

22. Confidentiality

Wholesale customers agree to keep confidential:

wholesale prices;
trade information;
exclusive product discussions;
business arrangements.

This information must not be shared with third parties.

23. Marketing Support

Where offered, Crafty Kits may provide marketing support including:

product images;
social media content;
blog features;
promotional ideas;
selling suggestions.

Marketing support does not guarantee sales performance.

Wholesale customers remain responsible for their own selling activities.

24. Liability

Crafty Kits shall not be liable for:

loss of profits;
loss of business opportunity;
unsold stock;
customer demand fluctuations;
marketplace performance.

Our liability is limited to the value of the relevant wholesale order.

Nothing in these Terms excludes liability that cannot legally be excluded.

25. Termination of Wholesale Relationship

Crafty Kits may suspend or end a wholesale relationship where:

products are misrepresented;
intellectual property is misused;
confidential information is shared;
payments are not made;
these Terms are breached.

26. Changes to Wholesale Terms

We may update these Terms from time to time.

The version applying at the time an order is accepted will apply to that order.

27. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the courts of England and Wales.
